The Banking and Finance Practice Group represents lenders and borrowers in a wide range of commercial finance and real estate finance matters. Our attorneys have decades of experience with complex transactions, and advise our clients on the structuring, documentation and closing of numerous types of credit facilities. Where appropriate, we collaborate with other attorneys in the firm, including those in our Bankruptcy and Corporate Restructuring and Real Estate Practice Groups, to effectively and efficiently advise clients. In addition, we provide counsel on various contract and regulatory compliance matters.
Our clients include not only banks and other financial institutions, but also companies in a variety of businesses involved in domestic and international financial transactions. Because we represent both lenders and borrowers, and buyers and sellers, our transaction teams have an in-depth working knowledge of the competing priorities among all parties to any given transaction. Our multi-faceted experience proves invaluable in negotiating and crafting the most beneficial terms for our clients, targeting the most effective enforcement of remedies, and establishing a cooperative environment to creatively resolve conflicts.
We represent both lenders and borrowers in the negotiation, structuring and documentation of traditional and complex bank loans and other extensions of credit, both domestically and abroad. TKD attorneys have extensive experience in lines of credit, term loans, revolving loans, construction loans, mezzanine loans, letters of credit and syndicated loan transactions. We regularly represent lenders in the purchase of A Notes, B Notes and mezzanine loan positions.
Our attorneys are well-versed in creating security interests in various types of collateral, including residential and commercial real estate, equipment, accounts receivable, inventory, commodities and partnership interests.
Restructuring and Bankruptcy
Working closely with the firm’s Bankruptcy and Corporate Restructuring Practice Group, we advise clients on rights and remedies for secured and unsecured loans. We have significant experience in the restructuring of secured commercial finance transactions, including residential and commercial developments, equipment leasing and receivable financing, creditor participants and government-guaranty loans. Our experience includes: foreclosures; restructuring and enforcing creditor’s rights and remedies; purchasing and selling distressed loans and acquired real estate; drafting workout and forbearance agreements; and identifying and correcting title issues relating to foreclosures and acquired collateral.
Residential Mortgage Finance
The firm is a leader in representing institutional lenders in residential mortgage financing transactions. Our work in this area is supported by the Real Estate Practice Group, particularly in resolving title-related issues. We also represent several mortgage bankers and mortgage brokers in regulatory matters.
