David E. Cohen is a member of the Real Estate practice. He specializes in various aspects of real estate and lending law, including representation of owners and purchasers in real property sales and acquisitions from contract to closing, institutional and private lenders in diverse mortgage and asset-based lending transactions as well as portfolio sales and acquisitions, and commercial landlords and tenants in leasing property. David also represents clients in the sale and acquisition of businesses and negotiates commercial agreements. His deep experience and practical approach allows him to effectively represent his clients.

Representative Matters:

  • Represented both landlords and tenants in lease transactions for office, retail and industrial properties in New York City and in suburban and rural areas.
  • Represented a seller negotiating and closing the sale of an oil tank storage field and shipping pier, with retained pipeline and mooring rights and agreements limiting continued environmental liability.
  • As primary local counsel, represented a non-for-profit operating several community health clinics in a complex real estate financing transaction involving seven loan facilities and four lenders, along with grants and tax credits. Persuaded the lenders to restructure the loan facilities, saving the client over $600,000 in mortgage tax.
  • Represented clients in the sale and purchase of commercial and industrial buildings, and condominium and cooperative units, as well as mixed use and residential buildings.
  • Represented a lender making a revolving line of credit secured by real estate, accounts receivable, inventory, life insurance policies, pledges of membership interests and numerous contingent personal and entity guarantees.
  • Attorney for large and small institutional lenders, and private lenders, in both portfolio and securitized transactions, working from issuance of term sheets and commitment letters, drafting and negotiation of loan documents and closing loans.
  • As primary counsel, negotiated and closed the simultaneous purchases of an assemblage of five distinct commercial properties from four different sellers.
  • Represented a sub-landlord in the negotiation of a sublease for a heliport and terminal building involving provisions for rent based upon operating revenue and passenger volume.

  • David served on the Board of the Community Home Purchase Process Initiative, a group formed under the auspices of the Federal Reserve Bank of New York for the purposes of identifying and eliminating barriers to home ownership.
